Terms of Service

1. Acceptance of Terms

By accessing and using the Assetsware asset tracking system, including the web application, mobile application, and related services (together, the "Service"), you accept and agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

2. Description of Service

Assetsware provides a web-based asset tracking and inventory management platform with a companion mobile application. The Service enables your organisation to register assets, generate QR code labels, record borrows and returns, schedule inspections and recurring maintenance, log complaints and repairs, and generate reports.

Assetsware may modify or update the features of the Service from time to time, including the addition of new functions or the retirement of existing ones.

3. Registration Obligations

You must be at least 18 years old, or acting with the authorisation of an organisation, to use the Service. In consideration of your use of the Service, you agree to:

• Provide true, accurate, current, and complete information about yourself and your organisation as prompted by the Service's registration form
• Maintain and promptly update the registration data to keep it true, accurate, current, and complete
• Maintain the security of your password and credentials
• Notify Assetsware immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

4. Privacy Policy

Registration data, asset data, and certain other information about you is subject to our Privacy Policy. You understand that through your use of the Service, you consent to the collection and use of this information as described in the Privacy Policy, including the transfer of this information to other countries for storage, processing, and use.

5. User Conduct

You agree not to use the Service to:

• Upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Attempt to gain unauthorized access to the Service, other users' accounts, or related systems
• Interfere with or disrupt the Service, its servers, or connected networks
• Upload content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party
• Use the Service to store asset records that are fraudulent or knowingly inaccurate

6. Your Data

You retain all rights to the asset data, records, and files you enter or upload into the Service. You grant Assetsware a non-exclusive, worldwide license to host, store, process, and display that data solely for the purpose of providing and operating the Service for you.

Assetsware does not claim ownership of your asset data and will not use it for any purpose other than providing the Service to you, except as required by law.

7. Modifications to Service

Assetsware reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Assetsware shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

8. Termination

You agree that Assetsware may, in its sole discretion, terminate your password, account (or any part thereof), or use of the Service, and remove and discard any content within the Service, for any reason, including, without limitation, for lack of use or if Assetsware believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service.

9. Intellectual Property Rights

You acknowledge that all content and materials present on the Assetsware platform, including but not limited to software, databases, graphics, text, and other content, are the intellectual property of Assetsware or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent from Assetsware.

10. No Warranty

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Assetsware does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, Assetsware shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Assetsware has been advised of the possibility of such damages), arising from your use of or inability to use the Service.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Malaysia for any actions for which we retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

13. Changes to Terms

Assetsware reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Service at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes.
